By accessing or using the Site, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Site.

• Use the Site to transmit spam or unsolicited messages

We may block or terminate access for any suspected violation.

5) COMMUNICATIONS; NO RELIANCE

If you contact us through the Site (including forms or email links), you agree that:

• communications may not be secure and should not include sensitive personal information,

• we may respond using the contact details you provide,

• any response is for general informational purposes only.

You agree not to rely on Site content as the sole basis for any investment decision. You should consult your own professional advisors.

6) FRAUD / IMPERSONATION WARNING

Fraudulent actors may impersonate NextRock, BCKD Capital, SVCV Global, or personnel. We do not:

• guarantee returns,

• request upfront “fees” to release funds,

• ask for payments in cryptocurrency as a condition of participation,

• operate public “investment groups” or recruitment channels via messaging apps (e.g., WhatsApp, Telegram, Signal, LINE) for unsolicited offers.

If you believe you have been contacted by an impersonator, do not send funds or personal data and contact us via official channels listed on the Site.

7) INTELLECTUAL PROPERTY

The Site and all content, including text, graphics, logos, designs, images, videos, software, and other materials (“Content”), are owned by or licensed to NextRock and are protected by intellectual property laws.

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Site for your personal or internal business informational purposes.

You may not reproduce, distribute, create derivative works, publicly display, or exploit any Content without our prior written consent, except as expressly permitted by law.

Trademarks: NextRock, BCKD, SVCV, and all related names, logos, and marks are trademarks or service marks of their respective owners. Unauthorized use is prohibited.

8) THIRD-PARTY LINKS AND SERVICES

The Site may contain links to third-party websites or services. We do not control and are not responsible for third-party content, policies, or practices. Accessing third-party sites is at your own risk.

9) DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR AVAILABILITY.

We do not warrant that the Site will be uninterrupted, error-free, secure, or free of viruses or other harmful components.

10) LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXTROCK AND ITS AFFILIATES, AND THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND SERVICE PROVIDERS, WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SITE OR CONTENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT WILL NEXTROCK’S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SITE EXCEED US$100 (OR THE MINIMUM AMOUNT PERMITTED BY LAW IF A HIGHER AMOUNT IS REQUIRED).

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

11) INDEMNIFICATION

You agree to defend, indemnify, and hold harmless NextRock and its affiliates and their directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from or relating to:

• your violation of any rights of another, or

• your unlawful conduct.

13) GOVERNING LAW; DISPUTE RESOLUTION; VENUE

Governing Law: These Terms are governed by the laws of the State of New York, without regard to conflict of law principles.

Venue: Except where prohibited by law, you agree that any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in New York County, New York, and you consent to personal jurisdiction and venue there.

Optional arbitration clause (use only if you want it):
If you want mandatory arbitration + class action waiver, tell me and I’ll provide a clean addendum (it’s powerful but must be implemented carefully).

14) TERMINATION

We may suspend or terminate your access to the Site at any time for any reason, including suspected violation of these Terms. Sections that by their nature should survive termination will survive (including IP, disclaimers, limitation of liability, indemnity, governing law).

15) SEVERABILITY; WAIVER; ENTIRE AGREEMENT

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force. Our failure to enforce any provision is not a waiver. These Terms, together with the Privacy Policy, constitute the entire agreement between you and NextRock regarding the Site.
